Freelance Service Contract Template
A client-facing contract for freelancers and service providers. Covers scope, payment, revisions, IP, and termination. Different from a contractor agreement — this is what YOU send to YOUR clients.
SERVICE AGREEMENT
This Service Agreement ("Agreement") is entered into as of [Date] by and between:

1. Services
Provider agrees to perform the following services for Client:

Timelines assume Client provides required materials and feedback within [3 / 5 / 7] business days of any request. Delays in Client response will extend deadlines by an equivalent period.
3. Compensation
Client agrees to pay Provider as follows:

4. Late Payment
Invoices not paid within [15 / 30] days of the due date shall incur a late fee of [1.5% / 2%] per month on the outstanding balance. Provider reserves the right to pause all work until overdue payments are received.
5. Revisions
This Agreement includes [2 / 3] rounds of revisions per deliverable. A "revision" is defined as a set of changes communicated in a single written request. Additional revisions beyond the included rounds will be billed at [$XX / hour].
6. Intellectual Property
6.1 Transfer. Upon receipt of full and final payment, Provider assigns to Client all rights, title, and interest in the final delivered work product created specifically for this project.
6.2 Provider's Tools. Provider retains ownership of all pre-existing tools, frameworks, templates, and code libraries used in creating the deliverables. Client receives a perpetual, non-exclusive license to use these components as part of the delivered work.
6.3 Portfolio Rights. Provider retains the right to display the work in their portfolio, website, and promotional materials unless Client requests otherwise in writing.
7. Confidentiality
Each party agrees to keep confidential any proprietary information received from the other party during the course of this project. This obligation survives termination of this Agreement for a period of [2] years.
8. Termination
Either party may terminate this Agreement with [14 / 30] days written notice. Upon termination: Client pays for all work completed through the termination date. If Client terminates, the deposit is non-refundable. If Provider terminates, Provider delivers all completed work to date.
9. Limitation of Liability
Provider's total liability under this Agreement shall not exceed the total fees paid by Client under this Agreement. Provider is not liable for any indirect, incidental, or consequential damages.
10. Independent Contractor
Provider is an independent contractor, not an employee of Client. Provider is responsible for their own taxes, insurance, and equipment. See BizBake's W-2 vs 1099 guide for classification details.
11. General Provisions
11.1 Governing Law. This Agreement is governed by the laws of [State].
11.2 Entire Agreement. This is the entire agreement and supersedes all prior discussions.
11.3 Amendments. Only amended in writing signed by both parties.
